1. Services Provided

FPM AI is an AI Automation Consulting Agency. We install custom growth infrastructure systems for appointment-based businesses.

Our services may include (but are not limited to):

Funnel and website builds

CRM and pipeline systems

Automated appointment setting

Follow-up and reactivation workflows

Meta ads strategy and setup (if applicable)

Performance reporting dashboards

Onboarding and support

Note: We do not sell leads, guarantee sales, or provide marketing “done for you” in the traditional sense. We install conversion infrastructure to help maximize existing or future lead flow.

2. Pricing & Payment Terms

All services are provided under a Monthly optimization + Maintenance pricing model.

Monthly maintenance begins after onboarding is complete.

All payments are processed securely through Stripe.

Late or failed payments may result in paused services and revoked access to installed systems or performance dashboards.

Failure to resolve overdue balances within 14 days of notice may result in permanent termination of access to systems without further obligation from FPM AI.

3. Client Responsibilities

To ensure successful delivery, clients agree to:

Provide timely access to platforms, accounts, and requested information

Complete all onboarding forms and approvals within 7 days of payment

Maintain active communication and participate in scheduled reviews

Honor the scope, timelines, and responsibilities outlined in the onboarding agreement

Delays caused by client inaction, lack of communication, or missing assets may affect timelines and results. FPM AI is not liable for delays outside our control.

4. Guarantee & Refund Policy

The FightFlow™ 30-Day Engagement Guarantee

If your gym qualifies for the FightFlow™ Guarantee, FPM AI will provide the

following commitment:

Guarantee Summary

If the FightFlow™ System does not generate meaningful engagement within the first 30 days of your system going live, you will not be charged for the second month of service.

Your account will continue to receive service for an additional 30 days at no additional cost.

What “Meaningful Engagement” Means (Clear & Measurable)

For the purpose of this guarantee, meaningful engagement is defined as at least one of the following occurring within the first 30 days:

New inbound lead engagement
– This includes responses, replies, questions, or interactions initiated by leads from any FightFlow™ automation.

Newly booked trials or appointments
– Any new trial session, consultation, or intro class booked through FightFlow™ flows.

New online reviews generated
– Any 5-star Google reviews generated through FightFlow’s review automation.

If none of the above occur within 30 days, the guarantee applies automatically as long as the client has met the qualifying conditions.

Client Requirements to Maintain Guarantee Eligibility

To stay eligible for the FightFlow™ Guarantee,

the client must:

Complete onboarding requirements within the requested timelines
(credentials, assets, CRM access, etc.).

Have active communication channels
– phone number, SMS, voicemail, and email must be functioning.

Not disable, alter, or interrupt automations installed by FPM AI.

Respond to FPM AI team requests for testing, verification, or troubleshooting within reasonable timeframes.

Meet the minimum lead volume requirements
– must have either:

at least 100 existing leads for activation, or

agree to a low daily ad spend to generate initial data.

If these conditions are not met, FPM AI cannot guarantee expected operational outcomes and the guarantee may not apply.

What the Guarantee Does Not Cover

The guarantee does not include:

Specific revenue outcomes

Guaranteed number of members, bookings, or trials

Results if automations are paused, altered, or blocked

Cases where the client fails to provide access or meet onboarding deadlines

This guarantee ensures engagement and system activity, not revenue, income, or financial returns.

What Happens If the Guarantee Is Triggered

If the FightFlow™ System does not generate meaningful engagement within 30 days:

Month 2 service fees are waived

FPM AI will continue providing full service for an additional 30 days at no charge

Billing resumes in Month 3
(unless canceled according to the standard cancellation policy)

Refunds:

Maintenance & optimization fees are non-refundable once service has been delivered or if results cannot be achieved due to client-side issues,

including but not limited to:

Delayed or incomplete onboarding

Lack of required access or assets

Client staff failing to follow internal processes

Mismanagement of leads outside of FPM AI’s systems

Force Majeure
FPM AI is not liable for service interruptions, delays, or performance failures caused by events outside of our reasonable control. This includes, but is not limited to: natural disasters, internet outages, government actions, pandemics, platform shutdowns (e.g., Meta ad bans), or third-party service outages.

5. Limitation of Liability

FPM AI (Martial Marketing Agency Inc.) is not liable for:

Any indirect, incidental, special, or consequential damages

Client-side issues such as failure to close appointments, internal sales process breakdowns, staff mismanagement, or offer delivery failures

Any financial loss caused by platform bans (e.g., Meta), payment processor holds, or third-party software outages

Our total liability for any claim shall not exceed the last monthly maintenance fee paid.

6. Results Disclaimer & Earnings Statement

No Earnings Guarantee.

FPM AI does not guarantee leads, revenue, profit, or business outcomes. Individual results will vary based on factors including, but not limited to: industry, offer strength, market conditions, client execution, sales ability, and service delivery quality.

We install lead conversion infrastructure, not guaranteed customer acquisition. Your ability to generate revenue depends on your unique business model, sales process, and market readiness.

Statements, case studies, or client testimonials reflect individual experiences and are not promises of future performance. Past results do not guarantee future success.

7. Intellectual Property

All systems, strategies, automations, content, and frameworks developed by FPM AI are proprietary intellectual property of Martial Marketing Agency Inc.

Clients receive a non-transferable, non-exclusive license to use the systems provided only while under active service. Unauthorized distribution, resale, or reuse is strictly prohibited and may result in legal action and revoked access.

8. Termination of Services

FPM AI reserves the right to pause or terminate services if:

Payment is late by more than 7 days

Client violates terms of use or IP protections

Client communication becomes unresponsive, disrespectful, or obstructive

Clients may cancel services with a minimum of 7 days’ written notice before their next billing cycle.

9. Legal Jurisdiction

These terms are governed by the laws of Ontario, Canada, and any disputes will be resolved in accordance with those laws.
