FPM AI — TERMS OF SERVICE

1. Acceptance of Terms

By accessing this website, purchasing a subscription, or engaging FPM AI services, you agree to these Terms.

Certain services may be governed by separate signed agreements. If a signed Service Agreement or Order Form conflicts with these Terms, the signed agreement controls.

2. Description of Services

FPM AI provides subscription-based AI enrollment systems and related infrastructure for combat gyms and appointment-based businesses.

Services may include:

A. Self-Serve Subscription Products

Including but not limited to:

- AI Front Desk Website

- Hosted enrollment pages

- AI chat and automation tools

- Scheduling, review & referral systems

- Customer Relationship Management Software

These products are provided on a recurring subscription basis and remain active only while subscription payments are current.

B. Custom System Modules (DFY)

Including but not limited to:

- Reactivation campaigns

- Follow-up automation

- Missed call capture

- AI nurture systems

- Paid ads System + management

- Enrollment site configuration

These services are governed by a signed Service Agreement where applicable.

C. FightFlow™ System

The full enrollment operating system may be governed by a separate written agreement outlining scope, guarantees, and obligations.

D. System Activation Actions

Some systems installed by FPM AI may include initial activation steps such as:

- importing a client-provided contact list

- sending an initial review or referral request campaign

- activating automated messaging workflows

These actions are performed one time for system activation purposes only unless otherwise specified in a separate service agreement.

FPM AI does not manage ongoing messaging campaigns unless explicitly agreed upon in writing.

3. Subscription & Billing

All subscription products operate on a recurring monthly billing cycle.

Payments are processed via Stripe.

- Subscriptions renew automatically unless canceled.

- Cancellation must occur before the next billing cycle to avoid the next charge.

- Fees are non-prorated unless required by law.

- All pricing is in CAD and exclusive of applicable taxes.

Failure to pay may result in:

- Suspension of services

- Deactivation of hosted systems

- Revoked platform access

4. Hosted System Model

FPM AI provides hosted systems and managed infrastructure.

Client purchases access to the system — not ownership of the system.

Upon cancellation or non-payment:

- Hosted systems, automations, and AI workflows may be deactivated.

- Access to dashboards and managed accounts may be revoked.

Client retains ownership of:

- Their customer data

- Contact lists

- Business assets provided to FPM AI

FPM AI retains ownership of:

- Templates

- Automations

- System architecture

- Prompts

- Workflows

- Frameworks

- Internal methodologies

- Platform configurations

5. Client Responsibilities

Clients agree to:

- Provide required access and credentials

- Maintain functional communication channels

- Respond to onboarding requests

- Comply with messaging and data laws

FPM AI is not responsible for delays caused by client inaction.

6. Compliance & Platform Risk

Client is responsible for compliance with:

- CASL

- TCPA (if applicable)

- Email/SMS regulations

- Platform policies (Meta, Google, etc.)

FPM AI is not responsible for:

- Platform suspensions

- Ad account bans

- SMS carrier filtering

- Third-party outages

7. No Guarantee of Results

FPM AI does not guarantee:

- Revenue

- Leads

- Sales

- Membership growth

Individual results vary based on:

- Market conditions

- Offer strength

- Sales execution

- Client responsiveness

Specific performance guarantees, if any, are outlined only in signed Service Agreements.

8. Limitation of Liability

To the maximum extent permitted by law:

FPM AI is not liable for:

- Indirect damages

- Lost revenue

- Business interruption

- Platform-related losses

- Total liability shall not exceed the last monthly subscription fee paid.

9. Intellectual Property

All systems, automations, workflows, prompts, strategies, and frameworks are proprietary intellectual property of Martial Marketing Agency Inc.

Unauthorized distribution, copying, or resale is prohibited.

10. Termination

FPM AI may suspend or terminate access if:

- Payment is overdue

- Terms are violated

- Conduct is abusive or unlawful

- Clients may cancel subscription products at any time before their next billing cycle.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
