Terms of Service

1. Acceptance of Terms

These Terms apply to use of the FPM AI website, subscriptions, hosted systems and services. By purchasing or using a service, you agree to the applicable Terms and the service terms presented for that engagement.

BrownBelt is month-to-month with no fixed-term commitment. Written service terms and payment authorization still apply. FightFlow requires a signed service agreement. If a signed service agreement or order form conflicts with these Terms, that document controls for the specific engagement, subject to applicable law.

2. Description of Services

FPM AI installs standardized revenue-protection and growth systems primarily for combat gyms and martial arts schools in Canada and the United States. The systems help capture inquiries, respond quickly, protect unanswered calls, book trials, follow up, recover no-shows, and support reviews and referrals.

FightFlow adds database reactivation and paid acquisition after the foundation is ready. AI and automation may support calls, replies, routing and follow-up within approved rules.

3. Service Offers

A. BrownBelt Protection System

BrownBelt is FPM AI's complete foundational revenue-protection system for combat gyms and martial arts schools. It protects and moves the demand already reaching the business through its website, current inbound traffic, calls and referrals. BrownBelt is month-to-month with no fixed-term commitment.

• A standardized FPM AI mobile-first conversion website/front door, installed as a required part of every BrownBelt system;
• Form/chat capture, immediate SMS/email response and approved lead nurture;
• Voice reception or call overflow, with missed-call text-back as a fallback;
• Basic qualification, routing, trial booking, confirmations and reminders;
• No-show recovery and rebooking;
• Feedback, review requests, review-response support and referral requests;
• CRM/pipeline access, monitoring, maintenance and limited standardized support.

BrownBelt excludes database reactivation, paid ads and ad spend, SEO/backlinks/blogging/content production, AI sales coaching or consultation grading, custom software projects, large custom page builds, and performance guarantees.

B. FightFlow — BlackBelt Growth System

FightFlow keeps the full BrownBelt foundation and adds two additional lead sources: database reactivation first when a viable list exists, then paid acquisition. Reactivated and paid opportunities enter the same BrownBelt response, booking, reminder, recovery, review and referral cycle.

• Single Channel: one paid acquisition channel, Meta OR Google. Meta is normally recommended where appropriate; Google may be selected when it is a better fit.
• Dual Channel: Meta AND Google.
• Where reactivation produces verified collected revenue, FPM AI may recommend earmarking those proceeds toward the approved ad budget before fresh client dollars are added. Reactivation revenue is not guaranteed, and the client funds any ad-budget shortfall.

FightFlow requires a signed service agreement but is month-to-month with no 90-day minimum term. Ad spend is separate and paid by the client. SEO/content marketing, AI sales coaching or consultation grading, client-side closing, unlimited creative production and guaranteed results are excluded.

C. FPM AI Starter Stack

The Starter Stack is a free toolkit with lifetime access, consisting of AI CMO, No-Show Destroyer™ and the RCCO Prompt Framework. It is not a paid service tier or a substitute for an installed BrownBelt or FightFlow system. Its free access does not grant access to paid hosted infrastructure. Third-party tools remain subject to their providers' terms and availability.

4. Active Service

Active Service means a current BrownBelt subscription, an active FightFlow engagement within its agreed term and billing period, or a complimentary proof engagement accepted in writing and meeting its conditions.

Access to paid hosted systems, support, maintenance and workflows depends on Active Service. Non-payment, cancellation or termination may result in restricted or suspended access, subject to the engagement terms and applicable law.

5. Subscription and Billing

Monthly fees are collected in advance by automatic payment through Stripe or another approved processor. Unless stated otherwise, prices are in CAD and taxes are additional. The price accepted in your order or service agreement applies to your engagement.

BrownBelt pricing

• The first three BrownBelt clients receive complimentary installation and their first month of BrownBelt service free only if all required onboarding details, assets, approvals and access are submitted within 48 hours of accepting the offer. Beginning in month 2, the $147/month founding rate applies while the account remains continuously active and in good standing.
• BrownBelt clients four through eight pay the $147/month founding rate from the start and retain it while continuously active and in good standing.
• After the founding cohort is filled, new-client pricing is confirmed at the time of purchase.

FightFlow pricing

• Single Channel: $547/month launch price for the first three active FightFlow clients, then $697/month standard pricing for new Single Channel clients unless a different price is agreed.
• Dual Channel: $847/month for Meta and Google together.
• Ad spend is separate and client-paid.

SMS, email, AI/model usage, voice minutes and other pass-through or third-party usage are variable costs, separate from the service price, billable from day one and non-refundable once incurred. This also applies during a complimentary BrownBelt service month. The engagement must state the applicable pass-through charges or fair-use and overage rules. Monthly service fees do not mean unlimited usage. Out-of-scope work requires a separate quote.

Subscriptions renew automatically until canceled under the applicable notice process. Fees are not prorated unless required by law or agreed in writing. Clients must maintain a valid payment method.

Published service fees describe what the services cost. They are not earnings projections or promises of a financial return.

6. Cancellation and Refunds

Month-to-month service

BrownBelt and FightFlow are month-to-month. FightFlow requires a signed service agreement but has no 90-day minimum term. Request cancellation before the next billing date using the notice process in your service terms, or contact [email protected] if no other process is specified. Cancellation stops the next renewal, subject to any campaign wind-down or access steps in the signed agreement.

Onboarding cutoff

Paid BrownBelt and FightFlow clients must provide all required onboarding information, assets, approvals and access within 7 calendar days. If complete onboarding is not received within that window, the engagement is cancelled and only the service or offer price paid is refunded. SMS, email, AI/model, voice and other variable or pass-through charges already incurred are non-refundable. FightFlow ad spend is also non-refundable.

Other refunds

Except for the onboarding and delivery-based exceptions stated in these Terms, FPM AI does not provide buyer's-remorse, change-of-mind or results-based refunds. Applicable law still applies.

7. Failure to Pay

Failure to pay may result in:

• System suspension;
• Restricted access;
• Paused automations;
• Disabled hosted pages;
• Disabled booking flows;
• Disabled CRM access;
• Disabled phone, email, or messaging systems;
• Removal of support;
• Permanent deletion or archival after the transition period.

FPM AI is not responsible for business impact caused by non-payment, failed billing, canceled payment methods, payment disputes, or client-side delays.

8. Hosted System Model and Infrastructure Control

FPM AI operates a hosted infrastructure model.

Clients purchase access to hosted systems and services.

Clients do not purchase ownership of the software, infrastructure, workflows, templates, prompts, system architecture, automations, or internal frameworks.

FPM AI retains full administrative control over:

• CRM infrastructure;
• Automations;
• AI workflows;
• Hosted websites/pages;
• System architecture;
• Templates;
• Prompts;
• Internal methodologies;
• Integrations;
• Reporting structures;
• Technical configurations.

Access is conditional on Active Service status.

Access is not tied to whether the system costs FPM AI money to operate.

Whether or not a system incurs cost does not create entitlement to continued access after cancellation, non-payment, termination, or inactive service.

9. Ownership vs Access

Client Owns

The client owns:

• Customer data provided by the client;
• Contact lists provided by the client;
• Business assets provided by the client;
• Logos, photos, brand assets, and creatives provided by the client;
• Ad account assets owned by the client, where applicable;
• Customer relationships.

FPM AI Owns

FPM AI retains rights in its own system design and configuration, subject to third-party platform rights:

• CRM infrastructure;
• Automations;
• System architecture;
• AI prompts;
• Templates;
• Workflows;
• Internal frameworks;
• Onboarding structures;
• Nurture systems;
• Review/referral workflows;
• Reactivation workflows;
• Reporting formats;
• Implementation methodology.

Client ownership of data or business assets does not include ownership of FPM AI platform access, automations, workflows, architecture, or infrastructure.

10. Client Responsibilities

Clients agree to:

• Complete onboarding accurately;
• Provide required access;
• Provide accurate business information;
• Respond within reasonable timelines;
• Approve required assets, campaigns, and workflows;
• Maintain legal compliance with customer communications;
• Maintain consent for uploaded contact lists;
• Deliver a strong customer/member experience;
• Handle sales conversations, trial experiences, memberships, and fulfillment.

FPM AI is not responsible for delays, lost opportunities, poor results, or system issues caused by client inaction, missing access, bad data, poor offer quality, poor sales handling, poor member experience, or failure to follow instructions.

11. Review, Referral, Email, and SMS Compliance

Clients are responsible for confirming that any customer/contact data provided to FPM AI was collected with proper consent and may be used for the intended purpose.

This includes data used for:

• Review requests;
• Referral requests;
• Follow-up messages;
• Reactivation campaigns;
• Nurture campaigns;
• SMS reminders;
• Email reminders;
• Marketing communications.

FPM AI acts as a technical service provider and processor.

FPM AI does not independently verify the legality, consent status, accuracy, or completeness of client-provided contact lists.

Clients are responsible for compliance with applicable laws, including CASL, TCPA, privacy laws, platform policies, and advertising rules.

12. Advertising and Platform Accounts

FightFlow channel scope, budget, access and approvals are defined in the signed agreement. Ad spend is separate from management fees and paid by the client through the client’s ad account.

The client retains ownership of client-owned ad accounts, business assets and customer data. FPM AI may require administrative or partner access to deliver the service. FPM AI workflows, templates and hosted infrastructure remain subject to the ownership and access terms in Sections 8 and 9.

Platform approval, account availability, tracking accuracy and campaign results are not guaranteed. Third-party outages, ad rejection and policy changes can affect delivery. Transition and access arrangements follow the signed agreement.

13. Launch Timing and Delivery-Based Refund

Standard launch target

The standard fulfillment target for BrownBelt and FightFlow is 7–10 business days or less after onboarding is complete, access is verified, and required assets and approvals are supplied. FightFlow also requires ad-account readiness.

First three BrownBelt clients

The first three BrownBelt clients keep the complimentary installation and first-month service offer only when all required onboarding details, assets, approvals and access are provided within 48 hours of accepting the offer. After complete onboarding, FPM AI targets fulfillment within 48 hours or less. Missing the 48-hour condition ends the complimentary first-month benefit; $147/month applies if the client elects to continue, subject to the separate 7-calendar-day onboarding cutoff. Variable usage remains separate and billable from day one.

10-business-day delivery exception

If onboarding is completed on time but FPM AI does not fully install the contracted BrownBelt or FightFlow system within 10 business days after complete onboarding, verified access and required approvals, the service or offer price paid for that first month is refunded, making the first month free. Variable/pass-through usage and FightFlow ad spend remain non-refundable.

No refund or fee waiver is tied to lead volume, booked trials, memberships, sales, revenue, CPL or ROAS. Launch targets do not create a performance guarantee.

Missing client inputs, access or approvals delays the start of the fulfillment window.

14. No Guarantee of Results

FPM AI does not guarantee:

• Revenue;
• Profit;
• Memberships;
• Sales;
• Fixed lead volume;
• Fixed booked-trial volume;
• SEO rankings;
• Google Business Profile rankings;
• Ad performance;
• Platform approval;
• Customer retention;
• Referral volume;
• Review volume.

Results depend on many factors outside FPM AI’s control, including:

• Market demand;
• Local competition;
• Offer quality;
• Pricing;
• Client responsiveness;
• Ad budget;
• Sales process;
• Customer experience;
• Seasonality;
• Platform changes;
• Quality of client-provided data.

FPM AI provides systems, infrastructure, automation, support, and campaign management where applicable. FPM AI does not control the client’s business operations, customer experience, sales conversations, fulfillment, pricing, reputation, or market conditions.

15. Transition and Exit Policy

Upon cancellation, non-payment, or termination, FPM AI may provide a limited transition window.

The transition window is typically 3–7 days unless a signed FightFlow agreement states otherwise.

During this window, FPM AI may provide, where applicable:

• Contact exports;
• Campaign data;
• Creative assets provided by the client;
• Basic funnel structure information;
• Relevant account information.

After the transition window:

• Systems may be disabled;
• Automations may be turned off;
• Access may be removed;
• Hosted pages may be unpublished;
• CRM access may be revoked;
• Data may be deleted, archived, or anonymized.

FPM AI is not responsible for lost data, lost revenue, business interruption, missed leads, or operational disruption if the client does not request exports during the transition window.

16. Data Exports and Migration

FPM AI may provide reasonable data exports during the transition window.

FPM AI is not responsible for:

• Rebuilding systems on another platform;
• Migrating automations;
• Recreating workflows;
• Transferring proprietary templates;
• Transferring prompts;
• Reconfiguring third-party tools;
• Training replacement providers;
• Maintaining access after cancellation.

Any migration support must be separately agreed in writing.

17. No Implied Continuity

Temporary extensions, delayed enforcement, grace periods, or one-time exceptions do not create future rights.

Continued access in one instance does not require FPM AI to provide the same access, grace period, or exception again.

Data access, system access, and transition support are conditional and time-bound.

18. Termination and Enforcement Authority

FPM AI may suspend or terminate access at any time, with or without notice, if:

• Payment is overdue;
• Payment is disputed;
• Client violates these Terms;
• Client fails to provide required access;
• Client is inactive during transition;
• Client misuses systems;
• Client creates legal, operational, platform, or reputational risk;
• Client uses systems for spam, fraud, deceptive marketing, or unlawful activity;
• Continued access creates risk to FPM AI or its infrastructure.

19. Intellectual Property

All FPM AI systems, frameworks, prompts, workflows, templates, processes, naming conventions, automations, and internal methodologies are proprietary.

Unauthorized copying, resale, sharing, reverse engineering, or reproduction is prohibited.

Clients may not use FPM AI systems, templates, workflows, or prompts to build a competing service, resell services, or transfer systems to another provider without written permission.

20. Third-Party Tools and Platforms

FPM AI may use third-party platforms such as CRM tools, email/SMS providers, website builders, ad platforms, analytics tools, payment processors, scheduling tools, AI tools, and hosting providers.

FPM AI is not responsible for:

• Third-party outages;
• Pricing changes;
• Feature changes;
• API issues;
• Platform bans;
• Rejected ads;
• Deliverability issues;
• Tracking errors;
• Tool limitations;
• Data loss caused by third-party systems.

Use of FPM AI services may also be subject to third-party terms and policies.

21. Limitation of Liability

To the maximum extent permitted by law, FPM AI is not liable for:

• Lost revenue;
• Lost profit;
• Lost leads;
• Missed opportunities;
• Business interruption;
• Data loss;
• Platform issues;
• Advertising losses;
• Reputational damage;
• Indirect damages;
• Consequential damages.

FPM AI’s maximum liability is limited to the last monthly fee paid by the client, except where a limitation is prohibited by applicable law.

22. Indemnification

Clients agree to indemnify and hold harmless Martial Marketing Agency Inc., FPM AI™, Fit Profit Marketing AI™, its owners, contractors, employees, and partners from claims, damages, losses, penalties, costs, or expenses arising from:

• Client-provided data;
• Unlawful contact lists;
• Lack of consent;
• Misleading claims provided by the client;
• Client business practices;
• Client sales process;
• Client fulfillment;
• Client violation of laws or platform policies;
• Misuse of FPM AI systems.

23. Governing Law

These Terms are governed by the laws of Ontario, Canada.

Any disputes will be handled in Ontario unless otherwise required by law or stated in a signed FightFlow agreement.

24. Updates to These Terms

FPM AI may update these Terms at any time.

Continued use of the website, systems, subscriptions, or services after updates means acceptance of the updated Terms.
