Terms of Service

1. Acceptance of Terms

By accessing this website, purchasing a subscription, completing onboarding, using FPM AI systems, or engaging FPM AI services, you agree to these Terms of Service.

These Terms apply to all FPM AI website visitors, prospects, clients, and users.

Certain services may also require a separate signed agreement.

2. Description of Services

FPM AI provides subscription-based AI systems, automation infrastructure, lead handling systems, review/referral systems, local visibility support, reactivation systems, and paid acquisition support for combat gyms and service-based businesses.

FPM AI is not a generic AI agency, web design agency, or lead generation agency.

FPM AI installs systems that help gyms capture inquiries, answer missed calls, book trials, follow up, collect reviews, encourage referrals, reactivate old opportunities, and support paid growth when applicable.

3. Service Offers

A. AI Front Desk Lite

AI Front Desk Lite is a month-to-month subscription.

There is no separate signed contract.

Clients may cancel anytime before the next billing date.

AI Front Desk Lite may include:

• Pipeline Command Center™
• CRM and deal stages
• Lead intake system
• AI Enrollment Site
• AI site assistant
• AI Missed Call Saver™
• Business email and phone number setup
• SmartBooker™ scheduling system
• Nurture Engine™
• AI Review Magnet™
• Referral Driver™
• Basic support
• Security
• Hosting
• Maintenance

AI Front Desk Lite does not include:

• SmartWriter™
• SearchMagnet™
• Proactive review/referral blast
• Paid ads
• Reactivation campaigns
• Lead Overwatch

B. AI Front Desk Pro

AI Front Desk Pro is a month-to-month subscription.

There is no separate signed contract.

Clients may cancel anytime before the next billing date.

AI Front Desk Pro includes everything in AI Front Desk Lite, plus additional front-end revenue protection and local visibility support.

AI Front Desk Pro may include:

• SmartWriter™ SEO/AEO Strengthener
• SearchMagnet™ local search foundation
• Proactive review/referral campaign support
• Stronger local presence foundation
• Organic content support over time

AI Front Desk Pro does not guarantee:

• Specific SEO rankings
• Specific Google Business Profile rankings
• Fixed lead volume
• Guaranteed revenue
• Guaranteed memberships

AI Front Desk Pro is designed to help the gym protect and convert more of the interest it already receives while improving its local and organic presence over time.

C. FightFlow System

FightFlow is a month-to-month service that requires a separate signed Service Agreement or Order Form.

FightFlow is the only FPM AI offer with a separate contract.

FightFlow includes everything in AI Front Desk Pro, plus qualified growth systems such as:

• AI Revive & Thrive™ DBR System
• Traffic Accelerator™ — Meta or Google ad system
• Lead Overwatch
• Paid campaign setup and monitoring
• Reactivation campaigns
• Pipeline cleanup
• Opportunity tracking

If the client wants both Meta and Google Ads, the applicable offer is FightFlow Meta + Google.

FightFlow does not include:

• Ad spend
• AI sales coaching
• Guaranteed lead volume
• Guaranteed memberships
• Guaranteed revenue

FightFlow requires the client to provide required access, approve campaigns, complete onboarding, and either provide an existing lead/customer list or approve ad spend.

4. Active Service Definition

“Active Service” means:

• An active paid AI Front Desk Lite subscription;
• An active paid AI Front Desk Pro subscription; or
• An active FightFlow signed agreement within its billing period.

Only Active Service qualifies for system access, support, hosting, maintenance, infrastructure use, and active workflow operation.

If payment is overdue, canceled, disputed, or inactive, FPM AI may restrict, suspend, or terminate access.

5. Subscription and Billing

AI Front Desk Lite and AI Front Desk Pro are billed monthly.

FightFlow billing is governed by the signed FightFlow Service Agreement or Order Form.

Unless otherwise stated:

• Subscriptions are billed monthly through Stripe or another approved payment processor;
• Pricing is in CAD unless otherwise stated;
• Taxes are not included unless expressly stated;
• Monthly fees are not prorated unless required by law;
• Subscriptions automatically renew until canceled;
• Cancellation prevents future billing but does not automatically refund past payments.

Clients are responsible for maintaining a valid payment method.

6. Cancellation Policy

AI Front Desk Lite and AI Front Desk Pro

AI Front Desk Lite and AI Front Desk Pro have no separate signed contract and may be canceled anytime.

To avoid future billing, cancellation must be requested before the next billing date.

Cancellation ends access to hosted systems, automations, support, and active infrastructure after the applicable transition window.

FightFlow

FightFlow cancellation, transition, minimum obligations, campaign wind-down, and access removal are governed by the signed FightFlow Service Agreement or Order Form.

7. Failure to Pay

Failure to pay may result in:

• System suspension;
• Restricted access;
• Paused automations;
• Disabled hosted pages;
• Disabled booking flows;
• Disabled CRM access;
• Disabled phone, email, or messaging systems;
• Removal of support;
• Permanent deletion or archival after the transition period.

FPM AI is not responsible for business impact caused by non-payment, failed billing, canceled payment methods, payment disputes, or client-side delays.

8. Hosted System Model and Infrastructure Control

FPM AI operates a hosted infrastructure model.

Clients purchase access to hosted systems and services.

Clients do not purchase ownership of the software, infrastructure, workflows, templates, prompts, system architecture, automations, or internal frameworks.

FPM AI retains full administrative control over:

• CRM infrastructure;
• Automations;
• AI workflows;
• Hosted websites/pages;
• System architecture;
• Templates;
• Prompts;
• Internal methodologies;
• Integrations;
• Reporting structures;
• Technical configurations.

Access is conditional on Active Service status.

Access is not tied to whether the system costs FPM AI money to operate.

Whether or not a system incurs cost does not create entitlement to continued access after cancellation, non-payment, termination, or inactive service.

9. Ownership vs Access

Client Owns

The client owns:

• Customer data provided by the client;
• Contact lists provided by the client;
• Business assets provided by the client;
• Logos, photos, brand assets, and creatives provided by the client;
• Ad account assets owned by the client, where applicable;
• Customer relationships.

FPM AI Owns

FPM AI owns:

• CRM infrastructure;
• Automations;
• System architecture;
• AI prompts;
• Templates;
• Workflows;
• Internal frameworks;
• Onboarding structures;
• Nurture systems;
• Review/referral workflows;
• Reactivation workflows;
• Reporting formats;
• Implementation methodology.

Client ownership of data or business assets does not include ownership of FPM AI platform access, automations, workflows, architecture, or infrastructure.

10. Client Responsibilities

Clients agree to:

• Complete onboarding accurately;
• Provide required access;
• Provide accurate business information;
• Respond within reasonable timelines;
• Approve required assets, campaigns, and workflows;
• Maintain legal compliance with customer communications;
• Maintain consent for uploaded contact lists;
• Deliver a strong customer/member experience;
• Handle sales conversations, trial experiences, memberships, and fulfillment.

FPM AI is not responsible for delays, lost opportunities, poor results, or system issues caused by client inaction, missing access, bad data, poor offer quality, poor sales handling, poor member experience, or failure to follow instructions.

11. Review, Referral, Email, and SMS Compliance

Clients are responsible for confirming that any customer/contact data provided to FPM AI was collected with proper consent and may be used for the intended purpose.

This includes data used for:

• Review requests;
• Referral requests;
• Follow-up messages;
• Reactivation campaigns;
• Nurture campaigns;
• SMS reminders;
• Email reminders;
• Marketing communications.

FPM AI acts as a technical service provider and processor.

FPM AI does not independently verify the legality, consent status, accuracy, or completeness of client-provided contact lists.

Clients are responsible for compliance with applicable laws, including CASL, TCPA, privacy laws, platform policies, and advertising rules.

12. Advertising and Platform Accounts

For FightFlow or any paid campaign service:

• Ad spend is not included unless expressly stated;
• The client is responsible for ad spend;
• Campaign results are not guaranteed;
• Platform approvals are not guaranteed;
• FPM AI is not responsible for platform downtime, account bans, rejected ads, tracking issues, algorithm changes, or policy changes.

Where accounts, pixels, pages, business managers, integrations, or tools are created under FPM AI infrastructure, they remain under FPM AI control unless a written agreement says otherwise.

Upon cancellation or termination, the client may be required to create and use their own accounts.

FPM AI is not required to maintain, transfer, rebuild, migrate, or continue operating accounts after the engagement ends.

13. Guarantees

AI Front Desk Lite and AI Front Desk Pro

AI Front Desk Lite and AI Front Desk Pro include the following guarantee:

This guarantee applies only if the client has completed onboarding, provided all required access, supplied required materials, and responded within reasonable timelines.

Client delays, missing access, missing materials, delayed approvals, platform issues, or third-party delays pause or void the 14-day launch timeline.

FightFlow

FightFlow may include the following guarantee where stated in the signed FightFlow agreement:

A qualified booked trial means a real local prospect who books a trial, intro class, consultation, or appointment.

A qualified reactivated opportunity means a past lead, missed call, or database contact who replies with clear interest in training, pricing, classes, or booking.

Eligibility requires the client to:

• Complete onboarding;
• Provide required access;
• Approve campaigns;
• Have either an existing lead/customer list or approved ad spend;
• Maintain Active Service status;
• Deliver an exceptional experience for prospects and members.

This guarantee does not promise revenue, memberships, profit, rankings, or fixed lead volume.

14. No Guarantee of Results

FPM AI does not guarantee:

• Revenue;
• Profit;
• Memberships;
• Sales;
• Fixed lead volume;
• Fixed booked-trial volume;
• SEO rankings;
• Google Business Profile rankings;
• Ad performance;
• Platform approval;
• Customer retention;
• Referral volume;
• Review volume.

Results depend on many factors outside FPM AI’s control, including:

• Market demand;
• Local competition;
• Offer quality;
• Pricing;
• Client responsiveness;
• Ad budget;
• Sales process;
• Customer experience;
• Seasonality;
• Platform changes;
• Quality of client-provided data.

FPM AI provides systems, infrastructure, automation, support, and campaign management where applicable. FPM AI does not control the client’s business operations, customer experience, sales conversations, fulfillment, pricing, reputation, or market conditions.

15. Transition and Exit Policy

Upon cancellation, non-payment, or termination, FPM AI may provide a limited transition window.

The transition window is typically 3–7 days unless a signed FightFlow agreement states otherwise.

During this window, FPM AI may provide, where applicable:

• Contact exports;
• Campaign data;
• Creative assets provided by the client;
• Basic funnel structure information;
• Relevant account information.

After the transition window:

• Systems may be disabled;
• Automations may be turned off;
• Access may be removed;
• Hosted pages may be unpublished;
• CRM access may be revoked;
• Data may be deleted, archived, or anonymized.

FPM AI is not responsible for lost data, lost revenue, business interruption, missed leads, or operational disruption if the client does not request exports during the transition window.

16. Data Exports and Migration

FPM AI may provide reasonable data exports during the transition window.

FPM AI is not responsible for:

• Rebuilding systems on another platform;
• Migrating automations;
• Recreating workflows;
• Transferring proprietary templates;
• Transferring prompts;
• Reconfiguring third-party tools;
• Training replacement providers;
• Maintaining access after cancellation.

Any migration support must be separately agreed in writing.

17. No Implied Continuity

Temporary extensions, delayed enforcement, grace periods, or one-time exceptions do not create future rights.

Continued access in one instance does not require FPM AI to provide the same access, grace period, or exception again.

Data access, system access, and transition support are conditional and time-bound.

18. Termination and Enforcement Authority

FPM AI may suspend or terminate access at any time, with or without notice, if:

• Payment is overdue;
• Payment is disputed;
• Client violates these Terms;
• Client fails to provide required access;
• Client is inactive during transition;
• Client misuses systems;
• Client creates legal, operational, platform, or reputational risk;
• Client uses systems for spam, fraud, deceptive marketing, or unlawful activity;
• Continued access creates risk to FPM AI or its infrastructure.

19. Intellectual Property

All FPM AI systems, frameworks, prompts, workflows, templates, processes, naming conventions, automations, and internal methodologies are proprietary.

Unauthorized copying, resale, sharing, reverse engineering, or reproduction is prohibited.

Clients may not use FPM AI systems, templates, workflows, or prompts to build a competing service, resell services, or transfer systems to another provider without written permission.

20. Third-Party Tools and Platforms

FPM AI may use third-party platforms such as CRM tools, email/SMS providers, website builders, ad platforms, analytics tools, payment processors, scheduling tools, local SEO tools, AI tools, and hosting providers.

FPM AI is not responsible for:

• Third-party outages;
• Pricing changes;
• Feature changes;
• API issues;
• Platform bans;
• Rejected ads;
• Deliverability issues;
• Tracking errors;
• Tool limitations;
• Data loss caused by third-party systems.

Use of FPM AI services may also be subject to third-party terms and policies.

21. Limitation of Liability

To the maximum extent permitted by law, FPM AI is not liable for:

• Lost revenue;
• Lost profit;
• Lost leads;
• Missed opportunities;
• Business interruption;
• Data loss;
• Platform issues;
• Advertising losses;
• Reputational damage;
• Indirect damages;
• Consequential damages.

FPM AI’s maximum liability is limited to the last monthly fee paid by the client.

22. Indemnification

Clients agree to indemnify and hold harmless Martial Marketing Agency Inc., FPM AI™, Fit Profit Marketing AI™, its owners, contractors, employees, and partners from claims, damages, losses, penalties, costs, or expenses arising from:

• Client-provided data;
• Unlawful contact lists;
• Lack of consent;
• Misleading claims provided by the client;
• Client business practices;
• Client sales process;
• Client fulfillment;
• Client violation of laws or platform policies;
• Misuse of FPM AI systems.

23. Governing Law

These Terms are governed by the laws of Ontario, Canada.

Any disputes will be handled in Ontario unless otherwise required by law or stated in a signed FightFlow agreement.

24. Updates to These Terms

FPM AI may update these Terms at any time.

Continued use of the website, systems, subscriptions, or services after updates means acceptance of the updated Terms.
